Aiella is a technical software tool, not a law firm. Our services do not constitute legal advice, legal opinions, or conformity assessments under the EU AI Act or any other regulation.

1. Agreement to Terms

These Terms of Service constitute a legally binding agreement between you and Aiella governing your access to and use of the Aiella platform, software, APIs, reports, and related services.

By accessing or using our Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Description of Services

Aiella provides automated technical monitoring software that analyzes technical characteristics of AI systems based on information you provide, maps technical observations to regulatory frameworks including the EU AI Act and GDPR, generates reports identifying potential technical gaps, and provides alerts when monitored systems exhibit behavior inconsistent with documented policies.

Our Services do not constitute legal advice of any kind, determine legal compliance with any law, constitute a conformity assessment under the EU AI Act, replace qualified legal counsel, or create an attorney-client relationship.

3. Acceptable Use

You agree not to use the Services to represent to third parties that your AI systems are legally compliant based solely on Aiella reports, misrepresent Aiella reports as legal opinions or certifications, submit false or misleading information, attempt to reverse engineer the Services, or resell access without our written consent.

4. Data and Privacy

You are responsible for ensuring information you submit complies with applicable data protection laws. We do not sell your data to third parties. See our Privacy Policy for full details.

5. Intellectual Property

The Services, including all software, algorithms, and reports, are owned by Aiella and protected by intellectual property laws. We grant you a limited, non-exclusive license to use the Services for your internal business purposes.

6. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. AIELLA MAKES NO WARRANTY THAT USE OF THE SERVICES WILL RESULT IN LEGAL COMPLIANCE WITH THE EU AI ACT, GDPR, OR ANY OTHER LAW OR REGULATION.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AIELLA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING REGULATORY FINES OR PENALTIES. AIELLA’S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF FEES PAID IN THE THREE PRECEDING MONTHS OR $100.

8. Governing Law

These Terms are governed by the laws of the State of Delaware. Disputes shall be resolved by binding arbitration under the American Arbitration Association’s Commercial Arbitration Rules.

9. Modifications

We may modify these Terms at any time with 30 days notice for material changes.
